By entering and using the CHRONICLES.org Web site (the “Site”), you are deemed to have read and accepted these Terms of Use. If you do not accept these Terms of Use or any part of them, you should not use the Site.
As the owner of the Site, we may modify these Terms of Use from time to time. Your continued use of the Site following such change demonstrates your agreement to be bound by the modified Terms of Use.
We advise you to check the Terms of Use each time you visit the Site. If you do not agree to any change to the Terms of Use, then you must immediately stop using the site.
1. Accuracy of Content and General Disclaimer
The George Washington University (“GW”), the owner of the Site, makes every effort to ensure that the content of the Site is accurate, complete and up-to-date, but does not offer any warranties (whether express, implied or otherwise) as to the reliability, accuracy or completeness of the information appearing on the Site.
The articles and information contained on the Site (“Content”) represents the views and opinions of the original creators of such Content and does not necessarily represent the views or opinions of GW. Any Content appearance on this Site does not constitute an endorsement by GW or its affiliates of such Content.
The Content has been made available for informational and educational purposes only. GW does not make any representation or warranties with respect to the accuracy, applicability, fitness, or completeness of the Content. GW does not warrant the performance, effectiveness or applicability of any third-party materials listed or linked to in any Content.
GW hereby disclaims any and all liability to any party for any direct, indirect, implied, punitive, special, incidental or other consequential damages arising directly or indirectly from any use of the Content, which is provided as is, and without warranties.
2. Protection of Intellectual Property Rights and License
All content available through the Site, including, without limitation, in the form of text, graphics, software and all HTML code and other code, photographs, and videos, and content provided by community health centers, associations, academic institutions, suppliers, sponsors, or third-party advertisers (the “Content”), may be protected by copyrights, trademarks, patents, rights of privacy or publicity, or other proprietary rights and laws (“Intellectual Property Rights”). Except as expressly authorized by GW in these Terms of Use, you agree not to copy, modify, rent, lease, loan, sell, assign, distribute, license, reverse engineer, or create derivative works based on the Site or any content (including, without limitation, any photographs or videos posted or archived) available through the Site.
You are hereby granted a nonexclusive, nontransferable, revocable, limited license to use the Content on the Site only for your personal informational and noncommercial purposes as follows: you may occasionally copy, download or print a single copy of any portion of the Content for personal, noncommercial use only, provided that you do not modify or alter the Content in any way or remove any author attribution, trademark, copyright or other notice contained therein. Copying or storing of any Content for other than personal use is expressly prohibited without prior written permission from GW or the copyright holder identified in the copyright notice contained in the Content. No other use is permitted without prior written permission from GW. The permitted use described in these Terms of Use is expressly contingent upon your strict compliance with these Terms.
Except as expressly stated in the foregoing paragraph, you may not modify, copy, distribute, transmit, display, redistribute, reproduce, publish, perform, license, commercially exploit, create derivative works from, transfer, or sell any material that may be displayed on the Site without first obtaining express permission to do so from GW in writing.
You may not frame any trademark, logo, photograph, video or other information on this Site without the express written permission of GW. Except as expressly provided in this Agreement, nothing contained in this Agreement or on the Site shall be construed as conferring any other license or right, expressly, by implication, by estoppel, or otherwise under any of GW’s Intellectual Property Rights or under any third party’s Intellectual Property Rights. Any rights not expressly granted to you in this Terms of Use are reserved.
3. Ownership, Trademarks and Copyright
Generally speaking, materials and trademarks appearing on the Site are either owned by GW or its licensors. Any other third party trademarks remain the property of their respective owners.
The copyright in the Site and the Content is owned by GW or its licensors. Without limiting the foregoing, you may not copy any of the Site or its content to any other server or location for publication, reproduction or distribution except as specifically permitted in Section 2.
If you wish to obtain permission to make use of any of the trademarks or other material that may be displayed on the Site, please contact us. GW shall not be responsible for seeking any additional authorization required for your use of any trademark or copyright-protected material that is not owned by or licensed to GW for such use.
4. Information You Contribute to the Site
GW does not want to receive, and will not accept, confidential or proprietary information submitted by you via the Site. You agree that any material, information, photographs or data you transmit to us or post to the Site (each a “Submission” or collectively “Submissions”) will be considered non-confidential and non-proprietary. For all Submissions, (a) you represent to us that you have the legal right to post the Submission and that it will not violate any law or the rights of any person or entity, and (b) you give GW the royalty-free, irrevocable, perpetual, worldwide right to use, distribute, display and create derivative works from the Submission, in any and all media, in any manner, in whole or in part, including, without limitation, posting to the Site or any other Web site owned or controlled by GW, without any restriction or responsibilities to you.
5. Prohibition on Commercial Use of Web Site Content
The Site is intended to provide information relating to community health centers. It is designed for personal, educational or academic non-commercial use only. You are permitted to use the material that is displayed on the Site only as expressly authorized by GW or its licensors. Users may not use the Site, or any of the material appearing on the Site, to further any commercial purpose, including (but not limited to) advertising, or to promote or generate activity on any other Web site.
6. Linking
GW may include links on the Site to other Web sites or resources operated by parties other than GW. These links are provided for the convenience of users and GW is not responsible for the availability or content of such external Web sites or resources. Such links do not constitute or imply an endorsement, sponsorship or recommendation by GW of the third party, the third-party Web site, or the information contained in that Web site. GW does not endorse or accept responsibility for the content of such external Web sites or resources and has no responsibility for or control over the enforcement of the privacy policy (if any) of the operators of the external Web sites.
If you use the links to the Web sites of third parties, including community health centers or other organizations featured on the Site, you will leave the Site, and will be subject to the terms of use and privacy policy applicable to those Web sites. You are advised to check the terms and conditions of use and the privacy policies of these external Web sites before entering or making use of them.
GW generally welcomes links to its Web sites. By so linking, however, you agree that GW may require the link to be removed if, in GW’s sole opinion, any aspect of the linking Web site, its content or any other matter relating to the link, is objectionable to GW. You may not mirror or frame the home page or any other pages of this Site on any other Web site or Web page.
7. Limitation of Liability
IN NO EVENT WILL GW BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR OTHER INDIRECT DAMAGES ARISING OUT OF (A) THE USE OF OR INABILITY TO USE THE SITE OR THE CONTENT, (B) ANY TRANSACTION CONDUCTED THROUGH OR FACILITATED BY THE SITE, (C) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SITE AND/OR THE CONTENT, (D) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, (E) ANY MISUSE BY THIRD PARTIES OF CONTENT YOU SUPPLY TO GW OR THE SITE FOR USE ON THE SITE, OR (F) ANY OTHER MATTER RELATING TO THE SITE OR THE CONTENT, EVEN IF GW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH THE SITE, THE CONTENT, OR WITH THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.
BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH STATES, GW'S LIABILITY IS LIMITED AND WARRANTIES ARE EXCLUDED TO THE GREATEST EXTENT PERMITTED BY LAW, BUT SHALL, IN NO EVENT, EXCEED $50.00.
You must take your own precautions (including, but not limited to, installing adequate protective measures to guard against software viruses and ensuring that you retain up-to-date copies of all data) to protect yourself against loss or damage.
8. Warranty Disclaimer
GW EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE SITE, ITS CONTENT, AND ANY PRODUCT OR SERVICE FURNISHED OR TO BE FURNISHED VIA THE SITE. GW DOES NOT WARRANT THAT THE FUNCTIONS PERFORMED BY THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT DEFECTS IN THE SITE WILL BE CORRECTED. GW DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE SITE’S CONTENT, OR THAT ANY ERRORS IN THE CONTENT WILL BE CORRECTED. THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
9. Your Conduct and Indemnification
You agree to use the Site only for lawful purposes and not do anything that might compromise the security of the Site, render the Site inaccessible to others or otherwise cause damage to the Site or its content. You agree not to add to, subtract from, or otherwise modify the Site’s content, except as otherwise expressly authorized by GW for the creation of your center-or organization - specific profile and pages, or to attempt to access any content that is not intended for you. You agree not to use the Site in any manner that might interfere with the rights of third parties.
You agree to indemnify, defend and hold harmless GW, its subsidiaries, affiliated companies, donors, joint venturers, business partners, licensors, directors, employees, agents, and any third-party information providers to the Site from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable attorney fees, resulting from, or arising out of your use, misuse or inability to use the Site or its content, or any violation by you of this Agreement.
10. Entire Agreement/No Waiver
These Terms of Use constitute the entire agreement of the parties with respect to the subject matter hereof. No waiver by GW of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
11. Correction of Errors and Inaccuracies
The content of this Site may contain typographical errors or other errors or inaccuracies and may not be complete or current. GW reserves the right to correct any errors, inaccuracies or omissions and to change or update the content at any time without prior notice.
12. Enforcement/ Choice of Law/ Choice of Forum
If any part of these Terms of Use is determined by a court of competent jurisdiction to be invalid or unenforceable, it will not impact any other provision of this Agreement, all of which will remain in full force and effect. Any and all disputes relating to this Agreement, the Privacy Policy, your use of the Site, any other GW Web site or the Site’s content are governed by, and will be interpreted in accordance with, the laws of the State of New York, without regard to any conflict of laws provisions.
13. Claims of Copyright Infringement
